1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of therigboss.com and the TheRigBoss shipper and driver applications (together, the "Platform"), operated by TheRigBoss Inc. ("TheRigBoss," "we," "us"). By using the Platform, or by checking the acceptance box when creating an account, you agree to these Terms. When you accept electronically, we record the date, time, and IP address of your acceptance as proof of agreement.

2. What TheRigBoss Is — and Isn't

TheRigBoss is a technology platform: an on-demand marketplace that connects shippers directly with independent, verified drivers. TheRigBoss is not a motor carrier, freight broker, or transportation provider. We do not own or operate trucks, employ drivers, or take custody of freight. Drivers on the Platform are independent businesses who contract directly with shippers.

3. Eligibility & Accounts

You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate, current information at signup and keep it updated, to keep your login credentials secure, and to be responsible for all activity under your account. Drivers must additionally meet the operating requirements in the Driver Agreement (license, DOT/MC authority, insurance).

4. Role Agreements

If you use the Platform as a driver, the Driver Agreement applies to you. If you use it as a shipper, the Shipper Agreement applies. Both are incorporated into these Terms by reference. If these Terms conflict with your role agreement on a role-specific matter (fees, cancellation, liability for freight), the role agreement controls.

5. Fees & Payments

Fees are described in the role agreements and shown before you book or accept a load. Payments are processed by Stripe; shipper payment is held in escrow at booking and released to the driver upon delivery confirmation and a signed digital Bill of Lading. You are responsible for any taxes arising from your use of the Platform.

6. Acceptable Use

You agree not to: arrange or solicit loads off-platform to circumvent fees (see the non-solicitation terms in your role agreement); provide false or misleading information, including load details or credentials; ship anything unlawful, or hazardous materials without proper authority; interfere with the Platform, scrape it, or reverse engineer it; harass other users; or use the Platform while failing to meet your role's eligibility requirements.

7. Communications

We send transactional messages (load offers, status updates, payment and Bill of Lading notices) by email, SMS, or in-app notification as part of the service. You can opt out of marketing messages at any time.

8. Intellectual Property

The Platform, the TheRigBoss name and logo, and all Platform content belong to TheRigBoss Inc. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. If you send us feedback, we may use it without obligation to you.

9. Third-Party Services

The Platform relies on third-party services, including Stripe for payments. Your use of those services is governed by their own terms, and we are not responsible for them.

10. Disclaimers

The Platform is provided "as is" and "as available." We do not guarantee that loads will be available, that drivers or shippers will perform, that delivery will occur by any particular time, or that the Platform will be uninterrupted or error-free. Driver verification (license, DOT/MC, insurance) is a screening step, not a guarantee of any driver's performance.

11. Limitation of Liability

To the maximum extent permitted by law, TheRigBoss is not liable for indirect, incidental, special, or consequential damages, or lost profits. For freight damage, loss, or delay, liability is governed by the Shipper Agreement and any elected protection plan. For all other claims, TheRigBoss's total liability is limited to the amounts you paid to TheRigBoss in the 12 months before the claim arose.

12. Indemnification

You agree to defend and hold harmless TheRigBoss Inc. and its officers and agents from claims arising out of your use of the Platform, your freight or hauling activity, your violation of these Terms or your role agreement, or your violation of any law or third-party right.

13. Termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access as described in your role agreement, or for violation of these Terms. Sections that by their nature should survive termination (including payment obligations, non-solicitation, confidentiality, limitation of liability, and dispute terms) survive.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas. If any provision is found unenforceable, the remaining provisions remain in full force.

15. Changes to These Terms

We may update these Terms. The "Last updated" date above will change, and we will notify you of material changes by email or in-app notice. Fee-structure changes follow the notice periods in the role agreements. Continued use of the Platform after changes take effect means you accept them.
