Shipper Agreement

Shipper Platform Agreement — TheRigBoss Inc.

This agreement is entered into between TheRigBoss Inc. (the Platform, the Company) and the individual or business identified below (Shipper, you). By creating an account and posting loads on TheRigBoss you agree to all terms below.

1. Platform Access

TheRigBoss provides an on-demand freight and vehicle transport marketplace that connects Shippers directly with independent verified drivers. TheRigBoss is not a freight broker, carrier, or transportation provider. TheRigBoss is a technology platform that facilitates direct connections between Shippers and independent drivers.

2. Shipper Account Types & Fees

Individual shippers — pay per shipment

• No monthly subscription required
• Platform fee of 8% added on top of the driver's posted rate — paid by Shipper at time of booking
• Protection plan optional: Decline ($0), Basic ($25), Standard ($55), or Premium ($95) per shipment

Business shippers — monthly subscription

• Starter: $99/month — up to 5 loads per month
• Business: $299/month — up to 20 loads per month
• Enterprise: $599/month — unlimited loads
• Business subscribers pay zero per-load platform markup — subscription covers platform access
• Protection plan applies per load regardless of subscription tier

3. Payment Terms

Shipper agrees to provide a valid payment method at account creation. Payment for each load is collected at time of booking and held in escrow through Stripe. Payment is released to the Driver upon delivery confirmation. Shipper may not cancel payment after a Driver has accepted a load without following TheRigBoss's cancellation policy below.

4. Cancellation Policy

• Cancellation before driver acceptance — full refund, no penalty
• Cancellation after driver acceptance but before pickup — 15% cancellation fee applied
• Cancellation after pickup has begun — no refund, driver is paid in full
• Repeated cancellations may result in account suspension

5. Protection Plans

Shipper may select an optional protection plan at time of booking. Protection plans are similar to car rental insurance — Shipper selects coverage level before the load begins. Protection plan terms:

• Decline — Shipper accepts full financial responsibility for any damage, loss, or theft. TheRigBoss and Driver are not liable beyond Driver's own cargo insurance.
• Basic ($25) — Driver's cargo insurance (minimum $100K) covers damage. Shipper files claim directly with Driver's insurance carrier.
• Standard ($55) — TheRigBoss contingent coverage up to $250,000 backs Driver's insurance. TheRigBoss manages the claim process.
• Premium ($95) — Full replacement value up to $500,000. No deductible. Priority claim handling by TheRigBoss.

By declining coverage Shipper acknowledges in writing that they accept all risk of damage, loss, or theft during transport.

6. Non-Solicitation of Drivers

Shipper agrees that during the term of this agreement and for 12 months following termination, Shipper will not directly contact, hire, or arrange freight with any Driver that Shipper met or connected with through the TheRigBoss platform, outside of the platform, without TheRigBoss's written consent. Violation of this clause may result in immediate account termination and damages of $5,000 per incident.

7. Shipper Responsibilities

Shipper agrees to:

• Provide accurate load information including weight, dimensions, pickup location, and delivery address
• Ensure freight is properly packaged and ready for pickup at the scheduled time
• Be available or have a representative available at pickup and delivery
• Sign the digital Bill of Lading at pickup and confirm delivery upon receipt
• Pay all fees promptly as agreed
• Treat all drivers with professional respect

8. TheRigBoss Liability Limitation

TheRigBoss is a technology platform and is not a carrier or transportation provider. TheRigBoss's liability to Shipper is limited to the platform fee paid for the specific load in question. TheRigBoss is not liable for freight damage, loss, delay, or Driver conduct beyond what is covered by the elected protection plan. All freight claims must be submitted within 7 days of delivery.

9. Confidentiality

Shipper agrees to keep confidential all non-public information about TheRigBoss including pricing models, driver information, and business strategy. Shipper will not share this information with any third party without written consent from TheRigBoss.

10. Termination

Either party may terminate this agreement at any time. TheRigBoss may immediately suspend or terminate Shipper's account for violation of any term of this agreement, fraudulent activity, repeated cancellations, non-payment, or any conduct that damages TheRigBoss's driver relationships or reputation.

11. Governing Law

This agreement is governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas. If any provision of this agreement is found unenforceable the remaining provisions remain in full force.

12. Entire Agreement

This agreement constitutes the entire agreement between Shipper and TheRigBoss regarding platform access and supersedes all prior discussions or agreements. By signing below or checking the acceptance box during account creation Shipper agrees to all terms above.

Electronic acceptance. This agreement is accepted electronically by checking the acceptance box during account creation. TheRigBoss records the date, time, and IP address of acceptance as proof of agreement.
