Driver Agreement
Independent Contractor & Platform Agreement — TheRigBoss Inc.

This agreement is entered into between TheRigBoss Inc. (the Platform, the Company) and the individual driver or carrier identified below (Driver, Contractor, you). By creating an account and accepting loads on TheRigBoss you agree to all terms below.
1. Independent Contractor Relationship
Driver is an independent contractor and not an employee, partner, agent, or joint venturer of TheRigBoss Inc. Driver has full control over how, when, and where they work. TheRigBoss does not set Driver's schedule, dictate routes, or control day-to-day operations. Driver is solely responsible for their own taxes, insurance, fuel, maintenance, and all costs associated with operating their vehicle.
2. Platform Access & Eligibility
To access and use the TheRigBoss platform Driver must maintain at all times:
- A valid driver's license in good standing
- A current DOT medical card
- A valid FMCSA DOT number and MC operating authority
- Minimum cargo insurance of $100,000 for hot shot loads or $250,000 for 18-wheel loads
- A valid credit or debit card on file — required before accepting first load
- A truck and trailer in safe operating condition meeting all applicable DOT standards
TheRigBoss reserves the right to verify any of the above at any time and to suspend or terminate access if requirements are not met.
3. Platform Fee Structure
Driver agrees to the following fee structure:
- Sign up is free — no fees are charged until Driver completes their first load
- A platform fee of 8% is added on top of Driver's posted rate and paid by the shipper — this fee is NOT deducted from Driver's earnings
- Driver always receives their full posted rate upon delivery confirmation
- Monthly fee caps apply: Basic tier $79/month, Pro tier $149/month, Fleet tier $349/month
- Once Driver's monthly cap is reached the platform fee drops to $0 for the remainder of that calendar month
- Fee structure may be updated with 30 days written notice to Driver
4. Payment Terms
All payments are processed through Stripe Connect. Shipper payment is held in escrow upon load acceptance. Payment is released to Driver upon delivery confirmation and digital Bill of Lading signature. TheRigBoss targets same-day payment release. TheRigBoss is not responsible for delays caused by Stripe, banking systems, or shipper disputes.
5. Driver Responsibilities
Driver agrees to:
- Accept loads only when able to complete them on time and in full
- Maintain a minimum 70% load acceptance rate within their preferred lanes
- Provide a credit or debit card on file before accepting their first load
- Respond to load offers within 15 minutes — loads not accepted within 15 minutes are offered to other drivers
- Notify TheRigBoss immediately of any accident, damage, or delay
- Complete a digital Bill of Lading at pickup and delivery
- Maintain professional conduct with all shippers
- Never contact shippers directly to arrange loads outside the platform
6. Non-Solicitation
Driver agrees that during the term of this agreement and for a period of 12 months following termination, Driver will not directly solicit, contact, or arrange freight with any shipper that Driver met or connected with through the TheRigBoss platform, outside of the platform, without TheRigBoss's written consent. This clause protects the shipper relationships that TheRigBoss has developed and maintained.
7. Non-Compete
Driver agrees that during the term of this agreement Driver will not build, operate, invest in, or assist any person or company in building a competing direct-dispatch freight or vehicle transport marketplace that connects independent drivers directly with shippers without a broker. This clause does not prevent Driver from hauling loads through other platforms, load boards, or brokers.
8. Confidentiality
Driver agrees to keep confidential all non-public information about TheRigBoss including but not limited to pricing models, shipper lists, driver lists, technology, and business strategy. Driver will not share this information with any third party without written consent from TheRigBoss.
9. Insurance & Liability
Driver is solely responsible for maintaining all required insurance. Driver is fully liable for any damage, loss, or theft of freight while in their care, custody, and control. TheRigBoss's optional protection plans provide supplemental coverage at the shipper's election but do not replace Driver's own cargo insurance obligations. TheRigBoss is not liable for Driver's actions, accidents, or freight claims.
10. Termination
Either party may terminate this agreement at any time with or without cause. TheRigBoss may immediately suspend or terminate Driver's access for violation of any term of this agreement, failure to maintain required credentials, repeated cancellations, unprofessional conduct, or any activity that damages TheRigBoss's reputation or shipper relationships.
11. Governing Law
This agreement is governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas. If any provision of this agreement is found unenforceable the remaining provisions remain in full force.
12. Entire Agreement
This agreement constitutes the entire agreement between Driver and TheRigBoss regarding platform access and supersedes all prior discussions or agreements. By signing below or checking the acceptance box during account creation Driver agrees to all terms above.
Electronic acceptance. This agreement is accepted electronically by checking the acceptance box during account creation. TheRigBoss records the date, time, and IP address of acceptance as proof of agreement.
